即使 Genting 已经控制 75%,只要他是通过“收购要约(takeover offer)”方式增加持股, 他就 必须向所有剩余股东发出 Offer Document. 根据 Malaysian Code on Take-Overs and Mergers 2016, Section 11(1):
“An offeror shall send an offer document to all holders of the class of voting shares ... within 21 days from the date of notice of the take-over offer.”
也就是说:Genting 没有权利跳过这一步。不可以只靠市场买(open market purchase)就完成收购,而不发 Offer Document。
除非:
他在发出要约之前,直接在市场上慢慢买上去到 75%,
而且 没有 宣布要约(offer)——但现在他已经宣布了 takeover offer(RM2.35),所以他法律上必须发 Offer Document。

fong , I'm auditor, so I know 2.35 is bullshits. won't sell single Unit to them. Even delist, they still have to send a letter to call shareholders for AGM. You all may say whatever you want to management DURING AGM.
