The Proposed Bonus Issue will entail the issuance of 243,365,500 Bonus Shares on the basis
of 1 Bonus Share for every 2 existing DPI Shares held by the shareholders of DPI whose names
appear in the Record of Depositors of the Company at the close of business on an entitlement
date to be determined and announced later by the Board (“Entitlement Date”).
As at 3 June 2021, being the latest practicable date prior to this announcement (“LPD”), the
issued share capital of the Company is RM66,257,198 comprising 486,731,000 DPI Shares.
Upon completion of the Proposed Bonus Issue, the issued share capital of the Company will
remain at RM66,257,198 while the number of issued shares of the Company will increase to
730,096,500 DPI Shares.
Fractional entitlements arising from the Proposed Bonus Issue, if any, will be disregarded, and
dealt with in such manner as the Board may in its absolute discretion deem fit and expedient,
and in the best interest of the Company.
The Proposed Bonus Issue will not be implemented on a staggered basis.
There will be an adjustment to the market price of DPI Shares listed and quoted on the ACE
Market of Bursa Malaysia Securities Berhad ("Bursa Securities") pursuant to the Proposed
Bonus Issue. For illustrative purposes, based on the 5-day volume weighted average price
(“VWAP”) of DPI Shares up to and including the LPD of RM0.5258, the theoretical ex-bonus
share price (“TEBP”) of DPI Shares is RM0.3505.
Further, pursuant to Rule 6.31(1A) of the ACE Market Listing Requirements of Bursa Securities
("Listing Requirements"), the share price adjusted for the Proposed Bonus Issue shall not be
less than RM0.20 based on the daily VWAP of DPI Shares during the 3-month period before
the application date. For illustrative purposes, based on the daily VWAP of DPI Shares for the
past 3 months up to and including the LPD of RM0.5026, the TEBP of DPI Shares is RM0.3351.
Accordingly, the Board will ensure that the Proposed Bonus Issue complies with Rule 6.31(1A)
of the Listing Requirements.
Desmond:DPI’s manufacturing facility in Muar can produce 9.7 million aerosol cans every year. The group is in the midst of building a new plant adjacent to its existing factory, which will also be extended.
