The Abridged Prospectus, together with the Notice of Provisional Allotment and the Rights Subscription Form (collectively referred to as the "Documents") are despatched only to shareholders whose names appear on the Record of Depositors as at 5.00 p.m. on 29 May 2024 ("Entitled Shareholders") ("BCD") and who have a registered address in Malaysia or who have provided our Share Registrar for the Rights Issue with Warrants with a registered address in Malaysia in writing by 5.00 p.m. on 29 May 2024.
The Warrants B are attached to the Rights Shares and will be issued only to the Entitled Shareholders and/or their transferee(s) and/or their renouncee(s) (if applicable) who subscribe for the Rights Shares at no additional cost to them. Each Warrant B will entitle its holder to subscribe for one new TCS Share at an exercise price of RM0.18 per TCS Share. The Warrants B will be immediately detached from the Rights Shares upon issuance and will be traded separately on the ACE Market of Bursa Malaysia Securities Berhad, and will be issued in registered form and constituted by the deed poll dated 8 May 2024.
The Documents are not intended to and will not be made to comply with the laws of any jurisdiction other than Malaysia and are not intended to be and will not be issued, circulated or distributed in jurisdictions other than Malaysia. No action has been or will be taken to ensure that the Rights Issue with Warrants complies with the laws of any jurisdiction other than the laws of Malaysia.
